Terms of Service

1. Acceptance of Terms

By creating an account or using the Flexi platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service. Flexi Inc. ("Flexi", "we", "our", or "us") reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

Flexi is a cloud-based financial management platform designed for freelancers and independent contractors. The Service includes invoice creation and delivery, time tracking, expense management, project management, and subscription-based billing features. Features available to you depend on your chosen plan (Free, Pro, or Business).

3. Account Registration

  • You must be at least 16 years old to create an account.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must notify us immediately at support@flexiinvoice.com if you suspect unauthorised access to your account.
  • One account per person. You may not share your account with others.

4. Subscription Plans and Billing

4.1 Plans

Flexi offers a Free plan and paid plans (Pro and Business) billed monthly or annually. Plan limits (invoices per month, projects, customers) are described on the pricing page and within the app.

4.2 Payment

Paid plans are billed in advance. Payments are processed by Stripe. By subscribing you authorise Stripe to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation and Refunds

You may cancel your subscription at any time via the billing portal in the app. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not offer pro-rata refunds for partial billing periods unless required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Send unsolicited commercial communications (spam).
  • Create fraudulent invoices or misrepresent financial information.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile, or otherwise attempt to extract source code.
  • Transmit malware, viruses, or any code intended to disrupt or harm the Service.
  • Resell or sublicense access to the Service without prior written consent.

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

6. Your Data and Content

You retain ownership of all data and content you upload to Flexi (invoices, client information, time entries, expenses). You grant Flexi a limited, non-exclusive licence to store and process your data solely to provide and improve the Service. You are solely responsible for the accuracy and legality of the data you enter. Flexi is a tool — we do not provide legal, tax, or accounting advice.

7. Intellectual Property

The Flexi name, logo, platform design, and software are the exclusive property of Flexi Inc. and protected by intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you. You may not use our branding without prior written permission.

8. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide advance notice of planned downtime.

9. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, Flexi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Flexi's total liability to you for any claims arising out of or related to these Terms or the Service exceed the greater of (a) the amount you paid to Flexi in the 12 months preceding the claim, or (b) USD $50. Flexi is not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flexi Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. You may close your account via the app settings. We may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases. We will retain and then delete your data in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
